Terms of Service

1. General
These general terms and conditions (“Terms”) apply to services (“Service”) provided by Cedar247 entities. The Service encompasses all Cedar247 products, deliverables, features, applications, services, technologies, and software we provide. The contents of the Service may change over time. We (“we” or “us” or “our”) govern your access to and use of our Service. You are responsible for your use of the Service and any content you provide, including compliance with applicable laws, rules, and regulations. Users must provide accurate information when using the services. The Service is owned and operated by Cedar247 and its entities. Should your contact or other necessary information change, you are required to update us without delay. Using the Service signifies your acceptance of these Terms and any Cedar247 policies and guidelines referenced herein. If you do not agree to these Terms or policies, you may not use the Service. If you use the Service on behalf of an organization, you accept these Terms on behalf of that entity and warrant you have the authority to bind it to this agreement. The Service may only be used by adults with legal capacity and in compliance with these Terms.

2. Service
Background Information is any material submitted by you (“Background Information”). Based on this information, we will process orders and deliver your requested content, whether in 3D models, 2D or 3D floor plans, or other deliverables (“Deliverables”). The Service may evolve over time as we refine and add features. We reserve the right, without prior notice, to restrict access to the Service and remove any Background Information or other data uploaded to the Service if we reasonably believe it could endanger the Service or violate these Terms, applicable laws, or standards of conduct. We aim to keep the Service available but may stop, suspend, or alter it as deemed necessary, including for maintenance or security reasons or if required by law or regulatory provisions.

3. Ownership

3.1 Service
The software and other technologies used to provide the Service, along with any updates, are protected by copyright, trademark, and other intellectual property laws. Cedar247 and its licensors retain all rights, title, and interest in and to the Service, including all intellectual property rights and related goodwill. No portion of the Service may be copied, reproduced, republished, modified, or used to create derivative works, decompiled, reverse-engineered, or distributed without prior written consent from Cedar247, except as necessary for device interfacing. Proper citation of Cedar247 documents and pages and linking to our Service is permitted.

3.2 Background Information
By using the Service, you retain ownership of your Background Information but grant us a perpetual, transferable, sublicensable, worldwide, royalty-free license to use, modify, reproduce, display, publicly perform, transmit, and distribute such material without payment or further permissions. If the Background Information contains personal data, we will process it per our privacy notice and applicable privacy laws.

3.3 Deliverables
Deliverables are any material created from your Background Information. These are protected by copyright and other intellectual property rights. Cedar247 maintains ownership of the Deliverables and grants you a limited, non-exclusive, non-transferable license to use them in your business. However, Cedar247 encourages you to:

• Use the functionalities of the Cedar247 Service to view and download any authorized Deliverables.
• Link to any page or Deliverable on the Cedar247 Service across your websites, blogs, or social media platforms.

We assume no responsibility for any modifications you make to Deliverables using tools like CedarTool. Public display of Deliverables should credit Cedar247 and link to our website.

3.4 Trademarks
These Terms do not grant you rights to use Cedar247 trademarks, logos, domain names, or brand features unless necessary for device interfacing with the Service. Unauthorized reproduction, downloading, or use of these items is prohibited.

4. Fees and Terms of Payment
If you purchase Deliverables and/or Services from Cedar247, you agree to pay all charges, except where Cedar247 has provided a written waiver. You must provide accurate billing and contact information, as well as a valid payment method. Payment processing may be handled by Cedar247’s chosen provider (e.g., Stripe). All invoiced amounts are due within 14 days of the invoice date.

5. Your Responsibilities With Respect To The Service
You are responsible for acquiring and maintaining necessary equipment and software for using the Service, as well as safeguarding your Background Information. Cedar247 is not liable for any loss or corruption of your data. You must not use the Service for harassment, unlawful activities, or content that is harmful or violates intellectual property laws. The use of the Service for unauthorized advertising or transmitting harmful code is strictly prohibited.

6. Representations, Warranties, and Indemnification
You agree that all information submitted is truthful, accurate, and lawful. Cedar247 reserves the right to monitor conduct and content on the Service. You indemnify Cedar247, its affiliates, employees, and directors against losses, liabilities, and expenses incurred due to violations of these Terms or misuse of the Service.

7. Disclaimers and Limitations of Liability
Your use of the Service is at your own risk. Cedar247 provides the Service “AS IS” and “AS AVAILABLE” without warranties. Cedar247’s liability is limited to the greater of (i) the amount paid by you in the 12 months preceding the claim or (ii) $100 USD. Cedar247 disclaims responsibility for indirect, special, or consequential damages, including lost profits, business interruption, or data loss.

8. Restrictions
Cedar247’s failure to enforce any right or provision does not constitute a waiver of those rights. These Terms may only be assigned by Cedar247. Unauthorized commercial use, keyword spamming, excessive demands on the Service, and security breaches are strictly prohibited.

9. Force Majeure
Cedar247 is not liable for delays or interruptions due to uncontrollable events. You will be notified promptly of any force majeure event affecting the Service.

10. Term and Termination
These Terms take effect upon publication and remain applicable as long as you use the Service. Cedar247 may terminate these Terms immediately in cases of bankruptcy or breaches not remedied within 30 days of notification.

11. Governing Law and Disputes
These Terms are governed by Finnish law. Any disputes will be settled by arbitration in Oulu, Finland, conducted in English. Arbitration awards are final and enforceable in courts of competent jurisdiction.
